Terms of Use

These terms and conditions ("Terms") govern the access to and use of services made available on or through https://www.eazzy.in and/or any mobile application, web application, or digital interface operated by Eazzy (collectively, the "Platform"). These Terms also govern all services made available on or through the Platform (collectively, the "Services").

These Terms incorporate by reference and must be read together with:

• the Privacy Policy available on the Platform;
• any service-specific terms, guidelines, policies, disclaimers, cancellation policies, refund policies, pricing policies, or supplemental terms published or communicated by Eazzy from time to time ("Supplemental Terms").

In the event of any conflict, the Supplemental Terms applicable to a specific Service shall prevail.

1. Legal Contract and Acceptance

These Terms constitute a legally binding and enforceable agreement between:

Everna Solutions Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Mustil No. 09, Killa No. 15/1/2, Main Pataudi Road, Sector 89A, Gurugram – 122505, Haryana, India ("Eazzy", "we", "us", or "our")

AND

You, whether:

• an individual user, or
• a company, firm, association, or legal entity booking services on behalf of end users ("you", "Customer", or "User").

By accessing or using the Platform or Services, you represent and warrant that:

• you are at least 18 years of age;
• you have full legal capacity to enter into a binding contract;
• if acting on behalf of another person or entity, you have valid authority to bind such person or entity.

If you do not agree to these Terms, you must not access or use the Platform or Services.

2. Nature of Services

2.1 Platform role

Eazzy operates a technology-enabled marketplace and facilitation platform that enables Customers to discover, schedule, book, and pay for services offered by independent third-party service providers ("Service Professionals").

2.2 Professional Services

Services rendered by Service Professionals are referred to as "Professional Services" and may include, without limitation:

• installation, repair, maintenance, diagnostics;
• inspection, refurbishment, buyback, resale, exchange, recommerce;
• logistics, pickup, delivery, or allied lifecycle services.

2.3 No employment or agency

You expressly acknowledge and agree that:

• Eazzy does not provide Professional Services;
• Service Professionals are independent contractors, not employees, agents, partners, or representatives of Eazzy;
• Eazzy does not control the manner, method, or execution of Professional Services;
• Service Professionals cannot bind or represent Eazzy in any manner.

2.4 Geographic limitation

The Platform is intended for use within India only, unless expressly stated otherwise.

3. Communications and Identification

3.1 Communications consent

By using the Services, you consent to receive communications from Eazzy via:

• phone calls;
• SMS;
• WhatsApp;
• emails;
• in-app notifications.

These communications may relate to bookings, payments, service updates, safety, marketing, or operational matters. Opting out of certain communications may impact service delivery.

3.2 Identity verification

Eazzy or Service Professionals may require you to provide valid identification proof to enable service delivery, safety verification, or regulatory compliance. Failure to comply may result in cancellation or denial of Services.

4. Account Creation and Security

4.1 Account requirement

To access most Services, you must create an account ("Account") and provide accurate, complete, and up-to-date information.

4.2 User responsibility

You are solely responsible for:

• safeguarding login credentials;
• all activity conducted through your Account;
• promptly notifying Eazzy of any unauthorised access or breach.

Eazzy shall not be liable for losses arising from unauthorised Account use.

5. User Content and Reviews

5.1 User Content

You may submit reviews, ratings, feedback, images, comments, or other content ("User Content").

5.2 Licence

You grant Eazzy a worldwide, perpetual, irrevocable, royalty-free, sublicensable licence to use User Content for:

• Platform operations;
• quality control;
• analytics;
• marketing and promotion;
• legal and regulatory compliance.

5.3 Content moderation

Eazzy reserves the right to remove or restrict User Content at its sole discretion without notice.

6. Bookings, Cancellations, and Substitution

6.1 Bookings

Bookings are requests for Professional Services subject to availability and confirmation.

6.2 Cancellations

Cancellation fees may apply based on:

• timing;
• service category;
• professional allocation; as per the applicable cancellation policy.

6.3 Substitution

If a Service Professional is unavailable, Eazzy may assign a substitute Service Professional without liability.

7. Pricing, Payments, and Fees

7.1 Charges and fees

You may be required to pay:

• Professional Service charges (payable to Service Professionals);
• platform convenience fees;
• safety, warranty, insurance, logistics, or welfare fees;
• applicable taxes.

7.2 Collection agent

Eazzy acts solely as a limited collection agent for Service Professionals and does not assume liability for Professional Services.

7.3 Non-refundability

Payments are final and non-refundable, except where required by law or explicitly stated.

7.4 Dynamic pricing

Charges may vary based on demand, location, time, or service complexity.

8. Buyback, Recommerce, and Asset-Based Services

You acknowledge that:

• buyback values are indicative and subject to inspection;
• final pricing may change based on condition, authenticity, and eligibility;
• ownership transfer occurs only upon successful inspection and confirmation;
• Eazzy is not liable for depreciation, resale value fluctuations, or third-party assessments.

9. Customer Conduct

You agree to:

• treat Service Professionals with dignity and respect;
• provide a safe, lawful, and hygienic service environment;
• disclose all material information relevant to service delivery.

Eazzy reserves the right to suspend or terminate access for misconduct, abuse, discrimination, or unsafe behaviour.

10. Third-Party Services

Eazzy is not responsible for third-party services, tools, platforms, or links accessed through the Platform. Use of such services is at your own risk.

11. Intellectual Property

All intellectual property in the Platform, branding, software, content, and systems is owned by or licensed to Eazzy. No rights are granted except as expressly stated.

12. Disclaimers

Services are provided on an "as is" and "as available" basis. Eazzy makes no warranties, express or implied, regarding:

• service quality;
• fitness for purpose;
• availability;
• outcomes of Professional Services.

13. Limitation of Liability

To the maximum extent permitted by law:

• Eazzy shall not be liable for indirect, incidental, consequential, punitive, or economic damages;
• Eazzy's total liability shall not exceed the platform commission received for the relevant booking or INR 10,000, whichever is lower.

14. Indemnity

You agree to indemnify and hold harmless Eazzy, its directors, officers, employees, and affiliates from claims arising from:

• your breach of these Terms;
• misuse of Services;
• violation of law;
• third-party claims linked to your Account or conduct.

15. Termination

Eazzy may suspend or terminate access:

• immediately for breach, risk, or legal reasons;
• with or without notice;
• without liability.

Upon termination, survival clauses shall remain enforceable.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

All disputes shall be resolved by arbitration in Gurugram, Haryana, under the Arbitration and Conciliation Act, 1996. The arbitrator's decision shall be final and binding.
